1. Agreement to Terms

By accessing or using the services provided by QuantaBridge Labs ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

QuantaBridge Labs provides digital transformation consulting, research services, and technology consulting. Our services include but are not limited to product strategy, engineering strategy, go-to-market strategy, and technical consulting in areas such as AI, blockchain, and emerging technologies.

3. Engagement Terms

All consulting engagements are subject to a separate Statement of Work (SOW) or consulting agreement that will outline:

  • Scope of services
  • Deliverables and timelines
  • Fees and payment terms
  • Confidentiality provisions
  • Intellectual property rights

4. Intellectual Property

Unless otherwise specified in a separate agreement:

  • All pre-existing intellectual property remains with its original owner
  • Work product created specifically for a client becomes the client's property upon full payment
  • QuantaBridge Labs retains the right to use general knowledge, skills, and experience gained during engagements

5. Confidentiality

We maintain strict confidentiality regarding all client information and project details. We will not disclose confidential information to third parties without your consent, except as required by law.

6. Limitation of Liability

To the fullest extent permitted by applicable law, QuantaBridge Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

7. Indemnification

You agree to indemnify and hold harmless QuantaBridge Labs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of our services or violation of these terms.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. For EU clients, mandatory consumer protection laws of your country of residence may also apply.

9. Dispute Resolution

Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be submitted to arbitration in Lagos, Nigeria, or through the courts of competent jurisdiction.

10. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
